Autonomo vs Limited Company in Barcelona: What Expats Should Decide Before They Invoice

Autónomo or SL? We set up either

We help you decide and handle the registration or the company formation.

Autónomo 90 € + VAT · SL 990 € + VAT.

Prices exclude VAT. Spanish VAT (21 %) applies to clients resident in the EU. If you live outside the EU, our advisory services are not subject to Spanish VAT; we confirm it in your quote.

Set up your business

Choosing between autonomo and a Spanish limited company is not just a tax question. For an expat in Barcelona it also affects immigration permission, Social Security registration, banking, contracts, invoices, personal risk and how much admin you can realistically handle while settling into Spain.

If you have not registered yet, start with our guide to registering as self-employed in Barcelona. This article answers the next decision: when staying as autonomo is enough, and when forming a company may be worth discussing with an accountant or lawyer.

The quick difference

An autonomo is a natural person carrying out an economic activity. You invoice under your own name, register with tax and Social Security, and keep the structure relatively light. A limited company, usually an SL, is a separate legal entity. It can sign contracts, invoice clients and hold company accounts, but it also brings incorporation steps, bookkeeping, corporate decisions and formal obligations that are not optional.

That is why many foreign freelancers start as autonomo when the work is personal, low-risk and easy to explain. They review the structure later when revenue, collaborators, liability or investor expectations change.

Immigration permission comes before structure

Before comparing tax routes, check whether your residence status lets you work on your own account. EU citizens have a different starting point from non-EU nationals. Some non-EU routes allow self-employment, while others are narrower or do not allow work at all. The non-lucrative visa, for example, should not be treated as a freelance work permit.

For a third-country national, creating a company does not automatically solve the right-to-work question. The permission attached to your residence status still matters. If your case involves a digital nomad authorisation, a self-employed work authorisation, family residence or a modification, get case-specific advice before you invoice. Barcelona Expat can help you connect the residence route with the admin route through our expat services and tax/residency support.

When autonomo is usually the practical first step

Autonomo is often practical when you sell your own professional services, have few suppliers, do not employ staff, and your clients accept individual invoices. It can also be easier when you need a fast, understandable setup after moving to Barcelona.

The trade-off is that the activity is tied to you personally. You need to keep tax registrations consistent with what you actually do, manage invoices and expenses, file the relevant returns, and stay aligned with Social Security. If you change activity, address or status, those changes should be reflected in the registrations instead of left for the next tax season.

When an SL may deserve a serious review

An SL can make sense when the business is no longer only a personal freelance activity. Common triggers include higher contractual risk, a need to separate personal and business operations, multiple founders, employees, outside investment, larger B2B clients, or a brand that will keep operating beyond one individual.

The cost is complexity. Incorporation, accounting, bank setup, company records, tax filings and legal representation need to be maintained. A company that is created too early can become an expensive container for a simple freelance activity. A company created too late can make contracts, liability and growth harder than necessary.

Questions to answer before deciding

  • Will you invoice mostly for your own labour, or sell a broader business service?
  • Do your contracts create meaningful liability if something goes wrong?
  • Are there co-founders, employees or investors?
  • Will clients require a company supplier rather than an individual professional?
  • Does your immigration permission match the activity you plan to carry out?
  • Can you afford the ongoing admin of a company, not just the incorporation?

Do not decide only on a headline tax rate

Expats often ask which option pays less tax. That question is too narrow. The answer depends on profit, salary extraction, expenses, Social Security, residence status, double-tax issues, family circumstances and future plans. A lower-looking rate can be offset by accounting costs, duplicated formalities or a structure that does not match your permit.

A better approach is to model the first year conservatively: expected revenue, realistic expenses, months without income, VAT exposure, income tax or corporate tax filings, Social Security, and the cost of professional support. If you do not yet have stable clients, keeping the first structure simple may be more valuable than chasing an optimisation that only works on paper.

How Barcelona Expat can help

We do not promise that one route is always cheaper or faster. The useful work is to map your residence permission, NIE status, Social Security position and expected activity before registration. If you are still arranging documents, review the digital nomad visa guide, the income tax guide for foreigners and the Social Security Number service before committing.

FAQ

Can I create an SL instead of registering as autonomo?

Sometimes, but it depends on the business model, the role you play in the company and your residence/work permission. A company does not remove the need to check immigration and Social Security obligations.

Is autonomo only for small income?

No. It is a legal and tax status for self-employed activity, not just a starter option. The question is whether the activity, risk and growth plans still fit that status.

Should I choose based on tax alone?

No. Tax matters, but so do liability, admin workload, immigration permission, client requirements and the cost of maintaining the structure.

When you have decided, the paperwork is on its own page: registering as autonomo in Barcelona or setting up an SL company, each with what it costs and what it commits you to.
